When you sign-up for an Account, You automatically accept the below provisions which constitute the SimplyMeet.me Terms and Conditions and You are legally bound by them. Read this document very carefully and together with our Website Terms and Conditions, SimplyMeet.me Privacy Policy and Data Processing Agreement.

2.1. 您在此同意並理解 SBPay.me 解決方案（“SBPay.me”）由 SimplyBook.me Ltd 為您提供服務，並受此處的規範約束。

2.5. You hereby understand and agree that, You may enable services and integrations (https://help.simplymeet.me/index.php/Integrations) in order to receive the Solution as per the Specific Purposes; which are not vetted, endorsed, or controlled by Us in any way or manner and therefore you use them at your own risk, subject to respective applicable provisions, limitations etc.
2.6. 您在此同意、理解並接受第 2.5 條的規定。如上述，您有責任遵守您所選用的服務/和或處理其個人數據時，必要的法律協議。

3.1.5. 任何違反適用於您和/或我們的任何地方、州、國家、外國或國際法律、法規、規則、命令、條約或其他法律的行為；和/或
3.1.6. 跟蹤、騷擾和/或對他人造成任何形式的傷害；和/或
3.1.7. 使用與 SimplyMeet.me 和/或我們一般相關的任何數據挖掘、機器人或類似的數據收集或取用方法；和/或

3.2. 除非本文另有明確許可，否則您不得直接或間接向任何第三方出售、轉讓、再許可、租賃、出租、分配或以其他任何方式轉讓 SimplyMeet.me 軟體解決方案。在未經 SimplyBook.me Ltd. 明確書面的同意或本文規定下的任何許可權利或義務（個人或法人個體）
3.3. 您在此同意並理解，在使用 SimplyMeet.me 解決方案時，您有完全的法律責任在任何適用的當地和/或國際法律法規範圍內遵守、遵守和執行您的業務運營。
4.1 In consideration for the use of Solution and in line with the provisions herein, You hereby accept that the fees payable shall be in accordance with the Fee Schedule available on our Website, as may be amended from time and to our discretion. The current subscription plans are: Free, Standard, Professional, and Enterprise, each with distinct features, usage limits, and pricing as set out in the Fee Schedule. Any applicable VAT or sales tax is payable by You in addition to payable fees.

5.1 本文件的規定自您註冊 SimplyMeet.me 帳戶之日啟示用，並在根據本文件規定終止前，將持續有效。

II. 未確認的 SimplyMeet.me 帳戶擁有者；和/或
III. 超過 8（八）週未啟用 SimplyMeet.me 帳戶 - 前提是在 SimplyMeet.me 帳戶的持有者並未登入和/或沒有有效的付費訂閱；和/或
IV. 我們認為系統有一些不尋常的使用導致服務器超載過高；和/或
V. 已確認該 SimplyMeet.me 帳戶是由未滿 18（十八）歲的人註冊建立，或是用冒充他人的方式建立。
5.3 您可以隨時終止這些 T&C 並刪除您的 SimplyMeet.me 帳戶，但關於任何未結帳之付款和/或其他法律義務人需遵守。
5.4 Any termination of these T&Cs shall occur without prejudice to any other rights, remedies or liabilities applicable to Us and/or You, expressly or by implication intended to come into or continue in force on or after such termination.
6.1 您在此承認、理解並同意，當您註冊 SimplyMeet.me 帳戶時，我們的 SimplyMeet.me 隱私權政策 及 數據處理協議 （"DPA"）的規定將作為 服務約定條款 (T&C) 的一部分並且自動適用於您。
6.2 You hereby agree and acknowledge that We have security measures in place (see here), in line with an internal certified Information Security Management System (the “ISMS”) with the requirements of the ISO/IEC 27001:2022 Standard.

8.1.2. pursuant to clause 8.1.1. above, We shall not be liable for any consequential, incidental or special damages, including but not limited to any loss in profits, use, business and/or service interruption, data or cost of obtaining substitute goods; arising out of or in connection with the provisions herein, or the use or inability to use Your SimplyMeet.me Account, even the possibility of such damages has been advised.

9.1 您在此同意，您將賠償並持有 SimplyBook.me Ltd 及其高級職員、董事、代理、子公司、合資企業和僱員；不受任何第三方因您違反本協議條款或您違反任何法律或第三方權利而根據本協議條款提出的任何索賠或要求，包括合理的律師費。
9.2 若您與第三方之間，因任何原因於使用 SimplyMeet.me 預約解決方案而發生爭議，無論是否為由您的 SimplyMeet.me 帳戶引起或以任何方式有關，對於任何已知或未知的任何總類和性質的索賠、要求（直接或間接），我們均不承擔任何責任、義務以及用其他方式承擔責任。
10.1 使用者/客戶的服務約定條款 (T&C) 的規定在允許的範圍內適用，您有責任就相關事宜，與您的客戶提供相對及充分的通知。
10.2 Neither You nor We shall be liable to each other by reason of failure or delay in the performance of our obligations herein, if the failure arises out of any circumstances beyond each reasonable control...Where either You or Us fails or delays to perform the set legal obligations, due to circumstances beyond their control must give a prompt written notice to the other Party, stating among other the length of time estimated for the occurrence to continue and either party may terminate this collaboration and delete the SimplyMeet.me Account affected, if such uncontrolled circumstances continue for longer than 30 days.
10.3 您可以依據此處的協議建立法律關係，並且無任何法律承諾和/或可能會有的衝突或以其他方式干擾或阻礙此處的職責和責任的義務。
10.4 在此處的條款以及通過引用併入的其他文件，為構成您與我們之間就此處標的事項達成的唯一、完整和最終協議，並取代所有先前和同時期的解釋、陳述、協議和保證以及與 SimplyBook.me Ltd 間的書面或口頭暗示。
10.5 Nothing in the provisions herein shall be construed as creating any agency, partnership or any other form of joint enterprise, employment or fiduciary relationship between You and SimplyBook.me Ltd and neither shall have the authority to bind You or Us in any such manner other than the provision of the SimplyMeet.me Software Solution solely for the Specific Purposes.
10.6 Any dispute claim, dispute or controversy arising under, out of or in connection with the provisions herein, between You and Us shall be resolved via an alternative dispute resolution, starting with mediation and including if necessary a final and binding arbitration. Where the dispute is not resolved and You and Us, the next step will be arbitration for which an arbitrator must be mutually agreed within 15 days while they use reasonable endeavours in good faith to resolve the dispute.

10.8 The provisions herein may be amended by SimplyBook.me Ltd to reflect changes to applicable laws and regulations and/or our business operations. Where an amendment is material, including but not limited to changes to pricing, plan structure, or feature availability, were legally required we will provide no less than thirty (30) days' prior written notice via email to the address associated with Your SimplyMeet.me Account and/or via a prominent notice within Your account, before the amendment takes effect. Non-material amendments (such as typographical corrections or clarifications that do not alter the substance of the provisions) may take effect upon posting. Your continued use of the Solution after the effective date of any amendment constitutes acceptance of the amended provisions. If You do not accept a material amendment, You may terminate Your account in accordance with Clause 5.3 prior to the effective date without penalty. Existing User Protections. Where We introduce a new subscription plan or modify the features or limits of an existing plan: (a) existing Free plan users will be notified no less than thirty (30) days in advance of any change to their plan limits or features. Such notification will be provided via email to the address associated with their SimplyMeet.me Account and will include: a clear description of the changes taking effect, the date on which the changes will apply, and notice of their right to terminate their account free of charge before that date if they do not wish to continue under the revised limits. Upon expiry of the notice period, existing Free plan users will be automatically migrated to the revised Free plan limits unless they have terminated their account prior to that date; (b) where a user voluntarily switches to a new or revised plan, the limits and features of the newly selected plan apply immediately and the protections under this clause cease to apply to that user in respect of their prior plan; (c) users on paid plans (Standard, Professional, Enterprise) will not have their paid plan terms altered during their current billing cycle.
